MASTER LNG SALE AND PURCHASE AGREEMENT
本液化天然氣購銷總協議於2013 年[ ]月[ ]日由以下雙方共同訂立:

(以上當事人在本協議中合稱「協議雙方」或單獨稱為「協議一方」)
(together the "Parties" and indivially a "Party")
鑒於WHEREAS
A. 協議一方有意在本總協議期限內進行LNG 的銷售,協議另一方有意在本總協議期限內進行LNG 的購買。
A Party may have LNG available for sale ring the term of this Master Agreement and the other Party may wish to purchase LNG ring the term of this Master Agreement.
B. 協議雙方會不定期以銷售備忘錄的形式達成LNG 買賣協議。
The Parties may, from time
to time, enter into Agreements for the sale and purchase of LNG by executing Sale Memoranda.
C. 本總協議書對適用於協議的通用條款進行了說明。
This Master Agreement sets out the general terms and conditions applicable to Agreements.

1. 術語與釋義DEFINITIONS AND INTERPRETATION
1.1 術語Definitions
「實際轉售價格」:如果買方未進行一批LNG 貨品的接收,賣方對這批LNG 進行轉賣而收取的實際價格(以美元/MMBtu 計)。
"Actual Resale Price" means the actual price in USD per MMBtu paid to Seller upon resale of the LNG following a failure by Buyer to accept a LNG Cargo.
「惡劣天氣條件」:根據裝貨港或卸貨港(視情況而定)當地發布的現行規范,或經相關港務長指示,遭遇的天氣條件和/或海情達到LNG 船無法進行靠泊、裝貨或卸貨(視情況而定)和/或離泊作業的惡劣程度。
"Adverse Weather Conditions" means weather and/or sea conditions actually experienced that are sufficiently severe to prevent a LNG Ship from proceeding to berth, loading or unloading (as the case may be) and/or departing from berth in accordance with published stipulations in effect at the Loading Port or the Discharge Port (as the case may be) or by the order of the relevant harbour master.
「附屬公司」:與協議任一方具有從屬關系的任何公司。如果一家公司受另一家公司控制,或對另一家公司有控製作用,或雙方互相控制,則可以認定兩家公司互為從屬關系。如果一家公司(直接或間接)持有另一家公司的大多數有表決權股份,或有權(直接或間接)指定該公司的大多數董事成員,則可以認定前者對後者有控製作用。
"Affiliate" means in relation to either Party, any company which is affiliated to it. A company is deemed to be affiliated to another if the first company is controlled by, under common control with, or controls the other. A company shall be deemed to have control of another if (directly or indirectly) it owns a majority of the voting shares, or is entitled (directly or indirectly) to appoint a majority of the directors, of the other company.
「協議」:通過實施以本總協議條款為基礎的銷售備忘錄,達成的LNG 購銷活動。
"Agreement" means a sale and purchase of LNG concluded by way of execution of a Sale Memoranm incorporating the terms of this Master Agreement.
「允許裝卸時長」:裝運港船上交貨時,銷售備忘錄中對賣方在裝貨港的允許裝貨時長;目的港船上交貨時,銷售備忘錄中對買方在卸貨港的允許卸貨時長。
"Allowed Laytime" means, in the case of a FOB delivery, Laytime to be allowed to Seller at the Loading Port as stated in the Sale Memoranm, and, in the case of a DAP delivery, Laytime to be allowed to Buyer at the Discharge Port as stated in the Sale Memoranm. 「Btu」:
英制熱量單位,相當於1,055.06 焦耳的熱量。
"Btu" means a British thermal unit, being the amount of heat equal to 1055.06 Joules.
「Btu/SCF」:每個標准立方英尺的氣體在60 華氏度和14.696 磅/平方英寸的絕對壓力
下所含的Btu 數量(假定該氣體為理想氣體)。
"Btu/SCF" means the number of Btu contained in a standard cubic foot of gas at a temperature of 60 degrees Fahrenheit and at an absolute pressure of 14.696 pounds per square inch, the gas being assumed to be an ideal gas.
「工作日」:英國倫敦和美國紐約的銀行對外開放營業的日期。
"Business Day" means a day upon which banks are normally open for business in London, England, and in New York City, United States of America.
「買方」:銷售備忘錄中指定為買方的協議一方。
"Buyer" means the Party named in a Sale Memoranm as the buyer.
「買方設施」:目的港船上交貨時,位於或靠近卸貨港的設施,具體信息會在相關銷售備忘錄中予以說明。買方依靠這些設施履行協議義務,買方設施包括:(i)LNG 船舶的靠泊設施和卸貨港設施,(ii)LNG 卸貨、接收、儲存、處理(如有必要)和再氣化設施,(iii)天然氣(和LNG,如適用)的加工和交付設施,以及(iv)所有附屬設備,無論是否為買方所有,也無論是否由買方或第三方直接運營。若經相關銷售備忘錄規定,設施中還需包括從再氣化終端閘門到下游主要氣體傳輸設施互聯點的管線。
"Buyer's Facilities" means, in the case of a DAP delivery, facilities located at or near to the Discharge Port, as further specified in the relevant Sale Memoranm, that are used by Buyer for the fulfilment of its obligations under an Agreement, which includes (i) the LNG ship berthing facilities and the Discharge Port facilities, (ii) the LNG unloading, receipt, storage, treatment (if necessary) and regasification facilities, (iii) the Natural Gas (and LNG if applicable) processing and delivery facilities and (iv) all ancillary equipment, whether or not owned by Buyer and whether operated directly by Buyer or by a Third Party. Such facilities shall include the pipeline that extends from the tailgate of the regasification terminal to the point of interconnection with the downstream primary gas transmission facilities only to the extent such pipeline is specified in the relevant Sale Memoranm.
「主管當局」:裝貨港或卸貨港所在國家(或任何其他相關國家)政府或該國任何政治部門的任何機構、機關、部門、檢查機構、部長、部門或其它公眾或法定人物(無論是否具備自主權)。
"Competent Authority" means any agency, authority, department, inspectorate, minister, ministry or other public or statutory Person (whether autonomous or not) of, or the government of the country of the Loading Port or the Discharge Port (or any other relevant country) or any political sub-division in or of that country.
「保密信息」:本總協議、所有協議、以及所有以書面或口頭形式披露的,與本總協議或任何協議相關的信息,或在披露之時,協議一方認定為「機密」的其它任何信息。
"Confidential Information" means this Master Agreement, all Agreements, and all information, whether communicated in writing or verbally, which concerns the contents of this Master Agreement or any Agreement, or any other information identified by a Party as "confidential" at the time of disclosure.
「合同價格」:根據第8 條中的定義。"Contract Price" has the meaning specified in Section .
「認定的每日閃蒸率」:根據附件B 第5.6 條和附件C 中第5.6 條中的定義。
"Deemed Daily Boil-Off Rate" has the meaning specified in Section 5.6 of Schele B and Section 5.6 of Schele C.
「違約方」:根據第13.1 條中的定義。
"Defaulting Party" has the meaning specified in Section 13.1.
「差額量」 :根據第6.2 (a)條中的定義。
"Deficiency Quantity" has the meaning specified in Section 6.2(a).
「交付點」:(i)裝貨港船上交貨時,賣方設施的輸出管線法蘭接合處與LNG 船裝貨管線法蘭接合處的連接點,或(ii)目的港船上交貨時,相關LNG 船卸貨管線法蘭接合處與買方設施接收管線法蘭接合處的連接點。
"Delivery Point" means (i) in the case of a FOB delivery, the junction point where the flange coupling of the export lines at Seller's Facilities connect with the flange coupling of the LNG Ship's loading lines or (ii) in the case of a DAP delivery, the junction point where the flange coupling of the relevant LNG Ship's unloading lines connect with the flange coupling of the receiving lines at Buyer's Facilities.
「交付窗口期」:銷售備忘錄中規定的一個時間段,相關LNG 船需在該時間段內發出准備就緒通知書。
"Delivery Window" means the period of time specified in a Sale Memoranm within which the Notice of Readiness is to be tendered by the relevant LNG Ship.
「 滯期費」 : 以銷售備忘錄中規定的滯期費為准。
"Demurrage Rate" means the demurrage rate specified in the Sale Memoranm.
「DAP(目的地交貨)」:根據《國際貿易術語解釋通則(2010 版)》中的定義。
"DAP" has the meaning specified in Incoterms 2010.
「卸貨港」:將交易的LNG 進行卸貨的港口。
"Discharge Port" means the port where the LNG purchased and sold is to be discharged.
「爭議」:根據第16.1 條中的定義。
"Dispute" has the meaning specified in Section 16.1
「ETA」或「預計到達時間」:裝貨港船上交貨時,根據附件B 第4.1(a)條中的定義;目的港船上交貨時,根據附件C 第4.1(a)條中的定義。
"ETA" or "Estimated Time of Arrival" has, in the case of a FOB delivery, the meaning specified in Section 4.1(a) of Schele B and, in the case of a DAP delivery, the meaning specified in Section 4.1(a) of Schele C.
「違約事項」:根據第13.1 條中的定義。
"Event of Default" has the meaning specified in Section 13.1.
「專家」:根據第16.2 條,為解決爭議事項而任命的人員。
"Expert" means a person appointed pursuant to Section 16.2 to resolve a Dispute.
「FOB(裝運港船上交貨)」:根據《國際貿易術語解釋通則(2010 版)》中的定義。
"FOB" has the meaning specified in Incoterms 2010.
「不可抗力」:根據第12.1 條中的定義。
"Force Majeure" has the meaning specified in Section 12.1.
「整船貨」:對在裝貨港能夠向LNG 船進行裝載的最大LNG 量,以及裝貨港限制因素予以考慮後,確保LNG 船能夠安全裝載並運輸的最大LNG 量(以立方米計)。
"Full Cargo Lot" means the volume of LNG in cubic metres which fills the LNG Ship to the fullest extent that such LNG Ship can safely load and carry taking into account the maximum amount of LNG that can practically be loaded onto the LNG Ship at the Loading Port and Loading Port restrictions.
「天然氣供應區域」:生產買賣雙方交易LNG 所用天然氣的產地區域,以銷售備忘錄為准。"Gas Supply Area" means the area, specified in the Sale Memoranm, from which Natural Gas used to manufacture LNG to be sold by Seller to Buyer hereunder is proced.
「留底貨」:就特定LNG 貨品而言,銷售備忘錄中規定的,(i)目的港船上交貨時, LNG 船在卸貨後需要保留的LNG 體積或LNG 量,(ii)裝運港船上交貨時,在開始裝載這批LNG 貨品之前,LNG 船上預期需要的LNG 體積或LNG 量。
"Heel" means, with respect to a given LNG Cargo, the volume or quantity of LNG specified as such in the Sale Memoranm (i) in the case of DAP deliveries, to be retained by the LNG Ship after discharge; and (ii) in the case of FOB deliveries, expected to be on board the LNG Ship prior
to commencement of loading of a LNG Cargo.
「IMO」:國際海事組織。"IMO" means International Maritime Organisation.
「所得稅」:根據收入一般徵收的任何稅費。
"Income Tax" means any tax of general application imposed on income.

⑵ LNG業務是什麼
就是和液化天然氣相關的業務,采購與銷售等,LNG是即液化天然氣(liquefied natural gas)的縮寫。
液化天然氣主要成分是甲烷。LNG無色、無味、無毒且無腐蝕性,其體積約為同量氣態天然氣體積的1/625,LNG的重量僅為同體積水的45%左右,熱值為52MMBtu/t(1MMBtu=2.52×10^8cal)。
LNG是一種清潔、高效的能源。由於進口LNG有助於能源消費國實現能源供應多元化、保障能源安全,而出口LNG有助於天然氣生產國有效開發天然氣資源、增加外匯收入、促進國民經濟發展,因而LNG貿易正成為全球能源市場的新熱點。
天然氣的用途
1、電廠、熱能、供暖、空調等工業企業的主要燃料;
2、餐飲業和民用的燃料;
3、化工工業的主要原料,可合成或提煉多種工業原料和半成品;
4、作為符合環保要求的機動車輛的潔凈燃料,汽油、柴油的理想替代物,這是近年來國內外迅速發展起來的一項新技術,可用於汽車、輪船、火車甚至飛機上。
⑶ LNG氣化CNG費用多少
加多少?假如1噸液的成本是5000,一頓液氣化後大約是10000/6.5=1538 5000/1538=3.3元,每方氣大於3.3就賺了額,主要和你氣化率有關,一般氣化率就是我上面說的6.5噸液10000方氣
⑷ 國際LNG貿易中船到港後,進口方需繳納哪些費用船代貨代是否需要繳納費用交多少
這要看你們的合同中使用的是什麼貿易術語,以及相關的裝卸條款和裝卸費用的劃分界限從哪兒劃分。一般情況下,如果採用CIF貿易術語,那麼,貨到目的港後的的港雜費和儲罐的租賃費用、目的港商檢及清關等費用均由買方承擔——這是CIF術語就已經劃分完畢的,即賣方承擔到目的港的海運費和保險費,貨到目的港之後的所有費用,都由買方承擔。
如果是DDP術語,那麼,所有的費用都由賣方承擔——因此,費用和風險的劃分主要根據貿易術語而定。
