傭金合同 翻譯一句

② 關於外貿傭金

傭金
傭金(Commission)是指賣方或買方支付給中間商代理買賣或介紹交易的服務酬金。
我國的外版貿專業權公司,在代理國內企業進出口業務時,通常由雙方簽訂協議規定代理傭金比率,而對外報價時,傭金率不明示在價格中,這種傭金稱之為'暗佣"。如果在價格條款中,明確表示傭金多少,稱為"明佣"。在我國對外貿易中,主要出現在我國出口企業向國外中間商的報價中。
包含傭金的合同價格,稱為含佣價,通常以含佣價乘以傭金率,得出傭金額。其計算公式為:
傭金=含佣價X傭金率
而 傭金=含佣價-凈價
整理後得含佣價和凈價的關系:
含擁價=凈價/1-擁金率
傭金通常以英文縮寫字母C表示。比如每公噸1000美元 CFR西雅圖包含傭金2%,可寫成:每公噸1000美元CFRC2西雅圖。其中的'C2"即表示傭金率為2% 。
賣方應在收妥貨款後,再向中間商支付傭金。

⑤ 什麼是傭金合同

外 貿 佣 金 合 同

甲方:(生產廠家)
乙方:(中 間 人)

根據《中華人民共和國合同法》和有關法律法規的規定,乙方接受甲方的委託,為甲方產品尋找海外客商,雙方經協商一致,簽訂本合同。
第一條:委託事項: 甲方委託乙方尋找海外客商。
第二條:委託事項的具體要求:
(1) 甲方應保證所生產產品的合法性及保證產品質量,若出現產品質量問題和其他不合法問題,後果均由甲方承擔。
(2) 海外客商交易的具體價格、交貨方式、支付方式等由乙方與海外客商雙方協商約定,但乙方需要和甲方溝通並爭得其同意。
(3) 乙方不對甲方與海外客商的交易提供任何信用擔保,甲方應嚴格按國家和國際的「FOB C&F或 CIF條款」執行與海外客商所簽定的合同。
(4)為方便乙方聯系業務,甲方需要及時提供除乙方本職以外的所有便利,貨款達到甲方帳戶後,甲方應及時通知乙方,以便乙方開展下一步工作。
(5)在整個過程中,乙方只承擔自己聯系客戶的電話費,上網費,路費,自己的飯費,招待費,其他一切費用都由甲方承擔。
(6)乙方只負責聯系客戶,簽定合同,其他所有工作都由甲方完成。
(7)在傭金合同期滿之前,凡是乙方為甲方聯系的客戶,甲方不能不通過乙方而直接和乙方聯系的客戶簽定合同,一旦乙方發現,甲方除了支付該合同相應的傭金給乙方外,甲方還需要支付銷售額的5%作為罰金支付給乙方。
(8)若銷售合同在傭金合同結束之前簽定並收到客戶定金,而生產或此銷售合同的終止在傭金合同期滿之後執行,則甲方需要繼續按照傭金合同所規定的傭金率支付此銷售合同中相應的傭金給乙方。
(9)在傭金合同期滿之前,乙方在甲方履行該合同的情況下,不得隨便將訂單轉移到別的工廠;在傭金合同期滿之後,甲方如果想跟乙方所聯系的客戶直接聯系業務,需徵得乙方的同意,協商方可。否則甲方需要繼續按照傭金合同所規定的傭金率支付所發生業務金額相應的傭金給乙方。
第三條:傭金的計算、給付方式、給付時間:
(1) 甲方同意按每筆合同成交總額的3%支付傭金給乙方。
(2) 給付方式及時間:
在甲方與乙方所介紹的海外客商簽定合同並收到定金後,甲方應支付總傭金的30%給乙方,該供應合同在收到客戶的大部分餘款後的5天之內支付餘下的傭金給乙方。(若在收回餘款時,由於銀行費用或其他的一切原因而造成與實際應收貨款相差,范圍在300美金或300美金之內,甲方不得因這個問題而拒絕支付或拖延支付乙方傭金)。若為全額信用證,則在甲方收到貨款後,5天內支付總傭金給乙方,其他同上!
第四條:違約責任:
(1) 甲方若不按本合同第三條的(2)執行,逾期一天應支付乙方滯納金,滯納金系數為:總傭金的5‰/天。
(2) 甲方同意凡乙方所介紹的海外客商,其將來與甲方發生的每筆業務,甲方都將按本合同的第三條支付傭金給乙方,否則,甲方願接受合同成交額的30%罰款支付給乙方。
第五條:關於銷售合同中止問題
在乙方聯系好業務並開始生產和采購後,若是由於甲方的原因中止了乙方與外國客戶的銷售合同,則甲方要承擔國外客戶的損失,並還要繼續支付乙方該筆銷售合同應得的傭金。若是由於國外客戶的原因造成合同的中止,則甲方不支付乙方的傭金!乙方不承擔任何損失和後果!
第六條:爭議解決方式
對違約行為若雙方協商不成,可憑此合同向人民法院提出訴訟。
第七條:本合同未盡事宜雙方協商解決。本合同一式貳份雙方各執壹份具有同等法律效用。

Brief Introction

傭金一般是中間商因介紹交易或代買商品而獲取的報酬。作為中間商因其有一定的貿易渠道,所以通過其開展交易已是國際貿易中的一種普遍做法。

傭金一般來說分為:明佣和暗佣。明佣是指在合同中已明確確定下來的傭金。暗佣是指在合同中沒有表明,而由雙方另行約定。傭金數額的計算一般按發票金額總值,即C.I.F.價格或C.F.R.價格乘以傭金率而得。但金額較大的也有按F.O.B.凈價計佣的。

折扣是指賣方按照商品的原價給買方以一定比率的價格減讓。折扣包括數量折扣、季節性折扣、特別折扣、額外折扣等。具體折扣數額或者比例的多少,應根據具體情況而定。當買賣雙方確定了折扣比例後,可在買賣合同中明確地表示出來。
