MASTER LNG SALE AND PURCHASE AGREEMENT
本液化天然气购销总协议于2013 年[ ]月[ ]日由以下双方共同订立:

(以上当事人在本协议中合称“协议双方”或单独称为“协议一方”)
(together the "Parties" and indivially a "Party")
鉴于WHEREAS
A. 协议一方有意在本总协议期限内进行LNG 的销售,协议另一方有意在本总协议期限内进行LNG 的购买。
A Party may have LNG available for sale ring the term of this Master Agreement and the other Party may wish to purchase LNG ring the term of this Master Agreement.
B. 协议双方会不定期以销售备忘录的形式达成LNG 买卖协议。
The Parties may, from time
to time, enter into Agreements for the sale and purchase of LNG by executing Sale Memoranda.
C. 本总协议书对适用于协议的通用条款进行了说明。
This Master Agreement sets out the general terms and conditions applicable to Agreements.
协议双方约定如下:IT IS AGREED as follows:
1. 术语与释义DEFINITIONS AND INTERPRETATION
1.1 术语Definitions
“实际转售价格”:如果买方未进行一批LNG 货品的接收,卖方对这批LNG 进行转卖而收取的实际价格(以美元/MMBtu 计)。
"Actual Resale Price" means the actual price in USD per MMBtu paid to Seller upon resale of the LNG following a failure by Buyer to accept a LNG Cargo.
“恶劣天气条件”:根据装货港或卸货港(视情况而定)当地发布的现行规范,或经相关港务长指示,遭遇的天气条件和/或海情达到LNG 船无法进行靠泊、装货或卸货(视情况而定)和/或离泊作业的恶劣程度。
"Adverse Weather Conditions" means weather and/or sea conditions actually experienced that are sufficiently severe to prevent a LNG Ship from proceeding to berth, loading or unloading (as the case may be) and/or departing from berth in accordance with published stipulations in effect at the Loading Port or the Discharge Port (as the case may be) or by the order of the relevant harbour master.
“附属公司”:与协议任一方具有从属关系的任何公司。如果一家公司受另一家公司控制,或对另一家公司有控制作用,或双方互相控制,则可以认定两家公司互为从属关系。如果一家公司(直接或间接)持有另一家公司的大多数有表决权股份,或有权(直接或间接)指定该公司的大多数董事成员,则可以认定前者对后者有控制作用。
"Affiliate" means in relation to either Party, any company which is affiliated to it. A company is deemed to be affiliated to another if the first company is controlled by, under common control with, or controls the other. A company shall be deemed to have control of another if (directly or indirectly) it owns a majority of the voting shares, or is entitled (directly or indirectly) to appoint a majority of the directors, of the other company.
“协议”:通过实施以本总协议条款为基础的销售备忘录,达成的LNG 购销活动。
"Agreement" means a sale and purchase of LNG concluded by way of execution of a Sale Memoranm incorporating the terms of this Master Agreement.
“允许装卸时长”:装运港船上交货时,销售备忘录中对卖方在装货港的允许装货时长;目的港船上交货时,销售备忘录中对买方在卸货港的允许卸货时长。
"Allowed Laytime" means, in the case of a FOB delivery, Laytime to be allowed to Seller at the Loading Port as stated in the Sale Memoranm, and, in the case of a DAP delivery, Laytime to be allowed to Buyer at the Discharge Port as stated in the Sale Memoranm. “Btu”:
英制热量单位,相当于1,055.06 焦耳的热量。
"Btu" means a British thermal unit, being the amount of heat equal to 1055.06 Joules.
“Btu/SCF”:每个标准立方英尺的气体在60 华氏度和14.696 磅/平方英寸的绝对压力
下所含的Btu 数量(假定该气体为理想气体)。
"Btu/SCF" means the number of Btu contained in a standard cubic foot of gas at a temperature of 60 degrees Fahrenheit and at an absolute pressure of 14.696 pounds per square inch, the gas being assumed to be an ideal gas.
“工作日”:英国伦敦和美国纽约的银行对外开放营业的日期。
"Business Day" means a day upon which banks are normally open for business in London, England, and in New York City, United States of America.
“买方”:销售备忘录中指定为买方的协议一方。
"Buyer" means the Party named in a Sale Memoranm as the buyer.
“买方设施”:目的港船上交货时,位于或靠近卸货港的设施,具体信息会在相关销售备忘录中予以说明。买方依靠这些设施履行协议义务,买方设施包括:(i)LNG 船舶的靠泊设施和卸货港设施,(ii)LNG 卸货、接收、储存、处理(如有必要)和再气化设施,(iii)天然气(和LNG,如适用)的加工和交付设施,以及(iv)所有附属设备,无论是否为买方所有,也无论是否由买方或第三方直接运营。若经相关销售备忘录规定,设施中还需包括从再气化终端闸门到下游主要气体传输设施互联点的管线。
"Buyer's Facilities" means, in the case of a DAP delivery, facilities located at or near to the Discharge Port, as further specified in the relevant Sale Memoranm, that are used by Buyer for the fulfilment of its obligations under an Agreement, which includes (i) the LNG ship berthing facilities and the Discharge Port facilities, (ii) the LNG unloading, receipt, storage, treatment (if necessary) and regasification facilities, (iii) the Natural Gas (and LNG if applicable) processing and delivery facilities and (iv) all ancillary equipment, whether or not owned by Buyer and whether operated directly by Buyer or by a Third Party. Such facilities shall include the pipeline that extends from the tailgate of the regasification terminal to the point of interconnection with the downstream primary gas transmission facilities only to the extent such pipeline is specified in the relevant Sale Memoranm.
“主管当局”:装货港或卸货港所在国家(或任何其他相关国家)政府或该国任何政治部门的任何机构、机关、部门、检查机构、部长、部门或其它公众或法定人物(无论是否具备自主权)。
"Competent Authority" means any agency, authority, department, inspectorate, minister, ministry or other public or statutory Person (whether autonomous or not) of, or the government of the country of the Loading Port or the Discharge Port (or any other relevant country) or any political sub-division in or of that country.
“保密信息”:本总协议、所有协议、以及所有以书面或口头形式披露的,与本总协议或任何协议相关的信息,或在披露之时,协议一方认定为“机密”的其它任何信息。
"Confidential Information" means this Master Agreement, all Agreements, and all information, whether communicated in writing or verbally, which concerns the contents of this Master Agreement or any Agreement, or any other information identified by a Party as "confidential" at the time of disclosure.
“合同价格”:根据第8 条中的定义。"Contract Price" has the meaning specified in Section .
“认定的每日闪蒸率”:根据附件B 第5.6 条和附件C 中第5.6 条中的定义。
"Deemed Daily Boil-Off Rate" has the meaning specified in Section 5.6 of Schele B and Section 5.6 of Schele C.
“违约方”:根据第13.1 条中的定义。
"Defaulting Party" has the meaning specified in Section 13.1.
“差额量” :根据第6.2 (a)条中的定义。
"Deficiency Quantity" has the meaning specified in Section 6.2(a).
“交付点”:(i)装货港船上交货时,卖方设施的输出管线法兰接合处与LNG 船装货管线法兰接合处的连接点,或(ii)目的港船上交货时,相关LNG 船卸货管线法兰接合处与买方设施接收管线法兰接合处的连接点。
"Delivery Point" means (i) in the case of a FOB delivery, the junction point where the flange coupling of the export lines at Seller's Facilities connect with the flange coupling of the LNG Ship's loading lines or (ii) in the case of a DAP delivery, the junction point where the flange coupling of the relevant LNG Ship's unloading lines connect with the flange coupling of the receiving lines at Buyer's Facilities.
“交付窗口期”:销售备忘录中规定的一个时间段,相关LNG 船需在该时间段内发出准备就绪通知书。
"Delivery Window" means the period of time specified in a Sale Memoranm within which the Notice of Readiness is to be tendered by the relevant LNG Ship.
“ 滞期费” : 以销售备忘录中规定的滞期费为准。
"Demurrage Rate" means the demurrage rate specified in the Sale Memoranm.
“DAP(目的地交货)”:根据《国际贸易术语解释通则(2010 版)》中的定义。
"DAP" has the meaning specified in Incoterms 2010.
“卸货港”:将交易的LNG 进行卸货的港口。
"Discharge Port" means the port where the LNG purchased and sold is to be discharged.
“争议”:根据第16.1 条中的定义。
"Dispute" has the meaning specified in Section 16.1
“ETA”或“预计到达时间”:装货港船上交货时,根据附件B 第4.1(a)条中的定义;目的港船上交货时,根据附件C 第4.1(a)条中的定义。
"ETA" or "Estimated Time of Arrival" has, in the case of a FOB delivery, the meaning specified in Section 4.1(a) of Schele B and, in the case of a DAP delivery, the meaning specified in Section 4.1(a) of Schele C.
“违约事项”:根据第13.1 条中的定义。
"Event of Default" has the meaning specified in Section 13.1.
“专家”:根据第16.2 条,为解决争议事项而任命的人员。
"Expert" means a person appointed pursuant to Section 16.2 to resolve a Dispute.
“FOB(装运港船上交货)”:根据《国际贸易术语解释通则(2010 版)》中的定义。
"FOB" has the meaning specified in Incoterms 2010.
“不可抗力”:根据第12.1 条中的定义。
"Force Majeure" has the meaning specified in Section 12.1.
“整船货”:对在装货港能够向LNG 船进行装载的最大LNG 量,以及装货港限制因素予以考虑后,确保LNG 船能够安全装载并运输的最大LNG 量(以立方米计)。
"Full Cargo Lot" means the volume of LNG in cubic metres which fills the LNG Ship to the fullest extent that such LNG Ship can safely load and carry taking into account the maximum amount of LNG that can practically be loaded onto the LNG Ship at the Loading Port and Loading Port restrictions.
“天然气供应区域”:生产买卖双方交易LNG 所用天然气的产地区域,以销售备忘录为准。"Gas Supply Area" means the area, specified in the Sale Memoranm, from which Natural Gas used to manufacture LNG to be sold by Seller to Buyer hereunder is proced.
“留底货”:就特定LNG 货品而言,销售备忘录中规定的,(i)目的港船上交货时, LNG 船在卸货后需要保留的LNG 体积或LNG 量,(ii)装运港船上交货时,在开始装载这批LNG 货品之前,LNG 船上预期需要的LNG 体积或LNG 量。
"Heel" means, with respect to a given LNG Cargo, the volume or quantity of LNG specified as such in the Sale Memoranm (i) in the case of DAP deliveries, to be retained by the LNG Ship after discharge; and (ii) in the case of FOB deliveries, expected to be on board the LNG Ship prior
to commencement of loading of a LNG Cargo.
“IMO”:国际海事组织。"IMO" means International Maritime Organisation.
“所得税”:根据收入一般征收的任何税费。
"Income Tax" means any tax of general application imposed on income.

⑵ LNG业务是什么

就是和液化天然气相关的业务,采购与销售等,LNG是即液化天然气(liquefied natural gas)的缩写。

液化天然气主要成分是甲烷。LNG无色、无味、无毒且无腐蚀性,其体积约为同量气态天然气体积的1/625,LNG的重量仅为同体积水的45%左右,热值为52MMBtu/t(1MMBtu=2.52×10^8cal)。

LNG是一种清洁、高效的能源。由于进口LNG有助于能源消费国实现能源供应多元化、保障能源安全,而出口LNG有助于天然气生产国有效开发天然气资源、增加外汇收入、促进国民经济发展,因而LNG贸易正成为全球能源市场的新热点。

2、餐饮业和民用的燃料;

3、化工工业的主要原料,可合成或提炼多种工业原料和半成品;

4、作为符合环保要求的机动车辆的洁净燃料,汽油、柴油的理想替代物,这是近年来国内外迅速发展起来的一项新技术,可用于汽车、轮船、火车甚至飞机上。

⑶ LNG气化CNG费用多少

加多少?假如1吨液的成本是5000,一顿液气化后大约是10000/6.5=1538 5000/1538=3.3元,每方气大于3.3就赚了额,主要和你气化率有关,一般气化率就是我上面说的6.5吨液10000方气

⑷ 国际LNG贸易中船到港后,进口方需缴纳哪些费用船代货代是否需要缴纳费用交多少

这要看你们的合同中使用的是什么贸易术语,以及相关的装卸条款和装卸费用的划分界限从哪儿划分。一般情况下,如果采用CIF贸易术语,那么,货到目的港后的的港杂费和储罐的租赁费用、目的港商检及清关等费用均由买方承担——这是CIF术语就已经划分完毕的,即卖方承担到目的港的海运费和保险费,货到目的港之后的所有费用,都由买方承担。

如果是DDP术语,那么,所有的费用都由卖方承担——因此,费用和风险的划分主要根据贸易术语而定。
